These Terms govern your participation as a Citizen in the Audit Chamber. By securing a Digital Access Asset, you accept them. If you do not agree, do not take part.

1. Who these Terms bind, and what the Audit Chamber is

These Terms are a binding agreement between you — a Citizen taking part in a broadcast — and Rasmitec SoHo Solutions Ltd (“Rasmitec”, “we”, “us”), a company registered in Nairobi, Kenya.

The Audit Chamber is a gamified live broadcast on the Rasmitec platform: a theatrical production with real commerce underneath it. During a session, Citizens secure Digital Access Assets, which carry access to the broadcast and a weighted vote. Each session is operated by its Host; Rasmitec provides the platform, the broadcast tools, and the settlement engine.

2. This is a theatrical production — NOT REAL WORLD

The Audit Chamber is presented as a court-of-judgment production. The institutions, roles, titles, instruments, and proceedings it depicts — including any court, council, advocate, validator, bailiff, sovereign, gavel, verdict, ratification, or judgment — are theatrical personas and dramatic devices performed for entertainment.

They are not real. They are not real judicial, governmental, regulatory, or legal proceedings, and they carry no real legal, judicial, governmental, or financial authority. Nothing shown or said in a session is a court ruling, a regulatory action, legal advice, financial advice, or professional advice of any kind, and nothing in it should be relied upon as such. Any resemblance to a real institution is theatrical.

3. What you are buying — the Digital Access Asset

When you take part, you secure a Digital Access Asset at a fixed price shown to you at the point of purchase. Each asset tier (for example, the Quill through the Throne) carries a defined level of access to the broadcast and a defined, disclosed vote weight.

It is a purchase, not a gift. A Digital Access Asset is something you buy. It is not a donation, a contribution, a charitable gift, a pledge, a subscription to a cause, or a response to an appeal for funds, and it is not offered or to be understood as any of those. What you receive in return is the asset and the access and vote it carries.

4. Buying is voting — the weighted vote

Each Digital Access Asset carries a vote, weighted by its tier. The votes of all Citizens are added together, and the combined weighted vote is what determines which cases in the session are funded.

5. Not gambling, not a lottery

The Audit Chamber is a commerce platform, not a game of chance. This is a binding term of your participation.

You agree not to treat your participation as gambling or a lottery, and not to use the language of betting, wagering, or games of chance in the broadcast.

6. The proceeds, and the funded cases

The proceeds of asset sales in a session are allocated by a fixed formula — the Pure Ledger — applied automatically when the session closes. A defined share is directed to the cases the session funds; the remainder is allocated by the same formula among the parties to the session.

No one decides who is paid. The formula and the votes decide. There is no discretion, and no manual override, over who receives what. That a share of proceeds is directed to the funded cases is part of how the platform's economy works; it does not make your purchase a donation.

Temporary arrangement, stated plainly. While the platform is being demonstrated and tested, payments may be processed into a Rasmitec account solely to prove the technology works, before being settled onward. This is a testing measure, replaced with the session operator's own arrangements once a Host is onboarded in earnest.

7. Your conduct in the broadcast

Taking part means joining a live, moderated broadcast. You agree to behave lawfully and civilly. In particular, you must not:

The broadcast is moderated, including by automated means. Messages are screened, prohibited terms are acted upon, and repeated breaches lead to removal from the broadcast. Persisting after warnings may end your access.

8. Eligibility and your participation

You confirm that you are of the legal age and have the capacity to enter a binding purchase where you live, that the information you give is accurate, and that you are responsible for activity carried out under your identity. If you take part on behalf of someone else, you confirm you are authorised to do so.

9. What we provide, and what we do not promise

We work to keep the broadcast available and working, but we do not guarantee it will be uninterrupted or error-free, and we do not guarantee that any particular case will be funded or that any particular result will occur. The platform and the broadcast are provided “as is” and “as available.”

10. Payments and refunds

Payments are processed by third-party payment providers. The price you pay is the price shown at the point of purchase, in the currency shown.

Because a Digital Access Asset and the access and vote it carries are delivered to you at the moment of purchase, purchases are final and non-refundable, except where the law of your jurisdiction requires otherwise, or where an asset you paid for was not delivered because of our error. A case you backed not being funded is not a failure of delivery and is not grounds for a refund.

If you initiate a chargeback or payment dispute in bad faith for an asset that was delivered, we may suspend your participation.

11. Privacy

Our handling of your personal data is described in our Privacy Notice, which forms part of your participation. In broad terms, we process the data needed to deliver your asset, run the broadcast and its vote, and settle the session, and we do not sell it.

12. Liability, and its limits

To the fullest extent the law allows, Rasmitec is not liable for: the conduct of any Host, Cast member, or other Citizen; the truth of any case, appeal, or claim made in a session; the result of any session or which cases are funded; loss of profit, goodwill, or data; or any indirect or consequential loss. Nothing in these Terms limits any liability that cannot be limited by law — including liability for death or personal injury caused by negligence, or for fraud.

Where any liability of Rasmitec to you is established despite the above, it is limited to the amount you paid for the Digital Access Asset giving rise to the claim.

13. You indemnify us

You agree to cover Rasmitec against claims, losses, and costs (including reasonable legal costs) arising from your conduct in a broadcast, your breach of these Terms, or your breach of any law — to the extent they arise from your acts or omissions rather than ours.

14. Governing law, disputes, and notices

These Terms are governed by the laws of Kenya. You and Rasmitec submit to the exclusive jurisdiction of the courts of Kenya for any dispute arising out of or in connection with them.

We may change these Terms; when we do, we update the version, and taking part after a change means you accept the changed Terms. Notices to Rasmitec may be sent to ahmed@rasmitec.com; we may give you notice within the broadcast or through the details registered for you. If any provision is found unenforceable, the rest remain in force.
